1. Acceptance of Terms
By accessing or using the ABC Management Services website (the "Site"), or by engaging our consultancy services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our Site or services.

2. About Our Services
ABCMS provides business consultancy, business review, transformation planning, grant advisory, global expansion strategy, and related services to Small and Micro Enterprises (SMEs).
All advice, recommendations, and strategies provided are based on our founder's experience and expertise. Results are not guaranteed and depend on your business's specific circumstances, market conditions, and execution capabilities.

3. No Professional-Client Relationship Without Signed Agreement
Browsing our website, submitting a contact form, or having an initial consultation does not create a formal professional-client relationship. A formal relationship exists only after both parties sign a separate Consultancy Service Agreement and any applicable fees are paid.

4. Website Use and Content

  • All content on this Site (text, graphics, logos, service descriptions) is the property of ABCMS and protected by copyright laws.

  • You may not reproduce, distribute, modify, or republish any content without our prior written permission.

  • You may download or print pages for personal, non-commercial reference only.


5. Limitation of Liability
To the fullest extent permitted by law:

  • ABCMS shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of our website or services.

  • This includes, but is not limited to: loss of profits, loss of data, business interruption, or any decision made based on our advice.

  • Our total liability for any claim arising from our services shall not exceed the total fees paid by you to ABCMS in the six (6) months preceding the claim.


6. Disclaimer of Warranties
The information on this website is provided "as is" and "as available" without any warranties, express or implied.
We do not warrant that:

  • The website will be uninterrupted, error-free, or secure.

  • The information on the site is complete, accurate, or up-to-date at all times.

You acknowledge that business decisions are your sole responsibility.

7. Grant Advisory Disclaimer
While ABCMS advises on and supports applications for government grants such as the Enterprise Development Grant (EDG), we do not guarantee approval of any grant application. Grant approval is at the sole discretion of the relevant government agency (e.g., Enterprise Singapore). Approval depends on your business eligibility, project scope, and other external factors.

8. Fees and Payment

  • Consultancy fees will be specified in your signed Service Agreement.

  • Fees are quoted in Singapore Dollars (SGD) unless otherwise stated.

  • Payment terms are net 14 days from the invoice date, unless otherwise agreed in writing.

  • Late payments may incur interest at 1.5% per month or the maximum permitted by law.

  • All fees are non-refundable once work has commenced, unless otherwise stated in your Service Agreement.


9. Confidentiality
We respect your business confidentiality. Any proprietary information you share with us during a formal engagement will be kept confidential and used only for the purpose of providing our services, except:

  • As required by law.

  • Where necessary to apply for grants (with your consent).

  • Information that is already public or independently developed.


10. Intellectual Property of Deliverables
Any reports, strategies, plans, or documents we create for you (the "Deliverables") are for your internal business use only. You may not resell, redistribute, or share them with third parties without our written permission, except to your own employees or grant agencies as reasonably required.

11. Third-Party Links
Our website may contain links to third-party websites (e.g., government grant portals, industry bodies). These links are provided for convenience only. We do not endorse or control those websites and are not responsible for their content or practices.

12. Indemnification
You agree to indemnify and hold ABCMS, its founder, employees, and affiliates harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your breach of these Terms.

  • Your misuse of our advice or website.

  • Any dispute between you and a third party related to our services.


13. Termination
We reserve the right to suspend or terminate access to our website or services if:

  • You violate these Terms and Conditions.

  • You fail to pay fees when due.

  • We determine, in our sole discretion, that continuing the relationship is not appropriate.


14. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Singapore.

15. Changes to These Terms
We may update these Terms and Conditions from time to time. The updated version will be posted on this page with a revised "Last Updated" date. Your continued use of the website or our services constitutes acceptance of the updated terms.
